FreshPlan Terms and Conditions

1. Agreement and mandatory acceptance
By accessing or using FreshPlan, you agree to these Terms and any policies incorporated by reference, including the Privacy Policy. Acceptance of the current Terms and Privacy Policy is required before first login and may be required again for existing users after material updates.
2. Eligibility and authority
You represent that you are legally able to enter into a binding agreement and comply with applicable laws where you use the service. If you use FreshPlan on behalf of an organization, you represent that you have authority to bind that organization.
3. Service scope and changes
FreshPlan provides pantry tracking, shopping, planning, scanning, recipe sharing, notifications, ads/promotions, and related subscription features. Features, integrations, APIs, and availability may change, be suspended, or discontinued at any time without liability.
4. Account and security responsibilities
You are responsible for account credentials, device access, and all activity under your account. You must promptly notify FreshPlan of suspected unauthorized access. We may suspend or restrict accounts for security, abuse, fraud, or legal compliance reasons.
5. Acceptable use restrictions
- No unlawful, infringing, deceptive, abusive, or harmful use.
- No unauthorized access, reverse engineering, scraping, or interference with service operations.
- No malware, automation abuse, denial-of-service behavior, or circumvention of technical controls.
- No misuse of other users' data or publication of personal/sensitive data without authorization.
6. User content license and moderation
You retain ownership of your content. You grant FreshPlan a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, adapt, and display your content solely to operate, secure, and improve FreshPlan. We may remove, restrict, or moderate content that violates these Terms, law, or third-party rights.
7. Shared recipes, copyright, and sole user liability
If you upload or share recipes, you represent and warrant that you own the content or have all necessary rights, licenses, and permissions to publish it. You are solely responsible for all user-submitted recipe content and for any copyright, trademark, privacy, publicity, or other intellectual-property claims, losses, damages, penalties, or legal expenses arising from that content.
FreshPlan may require submitters to affirm ownership/permission before posting. FreshPlan does not pre-screen all user submissions and does not assume liability for user-shared recipes. To the fullest extent permitted by law, FreshPlan and its operators have no responsibility for infringement or other claims arising from user-submitted content.
You agree not to submit copied, scraped, or unauthorized content from books, websites, creators, publishers, or other third parties. You must keep records demonstrating your ownership or permission and provide that information promptly on request for compliance review, complaint handling, or legal process.
You assume all risk for publication of your submissions. To the fullest extent permitted by law, you release and waive claims against FreshPlan and its operators arising from disputes between you and third parties regarding your submitted content.
8. DMCA / infringement notices
If you believe content infringes your rights, submit a detailed notice through Contact Support. FreshPlan may remove challenged content, notify the uploader, and process counter-notices where applicable law permits.
Notices should include sufficient detail to identify the claimant, the claimed work, the allegedly infringing material, location in the service, contact information, a good-faith statement, and an accuracy/authority statement under applicable law. False, misleading, or abusive notices/counter-notices may create legal liability for the sender.
FreshPlan may apply a repeat-infringer policy, including content removal, feature restrictions, or account termination for repeated or severe infringement claims, abuse, or policy violations.
9. Subscriptions, billing, and refunds
Some features require paid subscriptions. Apple or other app stores handle billing, renewals, cancellation flows, and refund policies. Subscription terms may be further described at Subscription Terms. Pricing and offerings may change.
10. Promotions, referrals, and ad-supported features
FreshPlan may offer promotions, referral rewards, free trials, temporary premium access, or ad-supported features. Eligibility rules, reward amounts, timing, and availability may change or end at any time. We may withhold, reverse, or deny promotional benefits where we suspect abuse, fraud, duplicate accounts, or violations of these Terms.
FreshPlan may audit eligibility, pause payouts/credits, and recover benefits that were issued due to error, abuse, manipulation, policy violations, or suspected unlawful conduct.
11. Intellectual property rights
FreshPlan software, design, branding, documentation, and service content (excluding user content) are owned by FreshPlan or licensors and protected by law. No rights are granted except the limited rights needed to use the service under these Terms.
12. Third-party services and links
FreshPlan may rely on third-party providers (for example, cloud hosting, analytics, auth, billing, ads, OCR, and AI providers). We are not responsible for third-party services, content, or policies.
Third-party terms, licenses, store rules, and platform policies may apply in addition to these Terms. You are responsible for compliance with those external requirements.
13. No professional advice
FreshPlan outputs (including scan/OCR/AI results, recipe suggestions, storage suggestions, and nutrition estimates) are informational only and are not legal, medical, dietary, safety, accounting, or professional advice.
14. Food safety and AI disclaimers
You are solely responsible for food safety decisions and for verifying dates, ingredients, allergens, storage guidance, and consumption suitability. FreshPlan does not guarantee accuracy, completeness, or fitness for a particular purpose.
15. Disclaimer of warranties
To the fullest extent permitted by law, FreshPlan is provided “as is” and “as available,” without warranties of any kind, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, and non-infringement.
16. Limitation of liability
To the fullest extent permitted by law, FreshPlan, its owners, affiliates, licensors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption. Aggregate liability is limited to the greater of (a) amounts you paid to FreshPlan in the 12 months before the claim, or (b) USD $100.
Without limiting the above, FreshPlan is not liable for user-generated content disputes, third-party intellectual-property claims arising from user submissions, moderation decisions, takedown outcomes, account restrictions, service interruptions, data unavailability, security incidents caused by third parties, or losses arising from reliance on user or AI-generated content.
17. Indemnification
You agree to defend, indemnify, and hold harmless FreshPlan and its operators from claims, liabilities, losses, damages, and reasonable costs (including legal fees) arising from your use of the service, your content, your shared recipes, your violation of law, or your breach of these Terms.
This indemnity includes third-party infringement allegations, privacy/publicity claims, regulatory investigations, governmental enforcement actions, chargebacks, and disputes tied to your content, account activity, or misuse of the service.
18. Termination and suspension
We may suspend or terminate access immediately for breach, abuse, legal demands, or security concerns. Upon termination, rights granted to you under these Terms end immediately; sections that by nature should survive will survive.
19. Governing law and dispute resolution
These Terms are governed by the laws of the operator's principal jurisdiction, excluding conflict-of-law rules, except where mandatory local consumer law applies. You and FreshPlan agree to attempt informal resolution first before filing claims.
To the fullest extent permitted by applicable law, disputes shall be resolved on an individual basis, and each party waives any right to participate in class, consolidated, representative, or private-attorney-general actions, as well as any right to jury trial where waivable.
20. Export controls and sanctions
You may not use FreshPlan in violation of export-control or sanctions laws. You represent you are not prohibited from receiving services under applicable law.
21. General terms
If any provision is unenforceable, remaining provisions remain in effect. Failure to enforce is not a waiver. You may not assign these Terms without consent; FreshPlan may assign them in connection with merger, sale, or reorganization. These Terms constitute the entire agreement regarding use of the service.
To the fullest extent permitted by law, any claim relating to the service must be filed within one (1) year after the claim arises, or it is permanently barred. FreshPlan is not liable for delays or failures caused by events beyond reasonable control (including outages, provider failures, cyberattacks, disasters, or government actions). Provisions that by their nature should survive termination (including liability limits, indemnity, dispute provisions, and IP protections) survive.
